Terms of Service

These Interim Terms of Service ("Terms") govern access to and use of the HaulVision website, platform, visualization services, design tools, live sessions, credit-based services, and related offerings (collectively, the "Services").
These Terms apply during HaulVision’s early, pilot, beta, and pre-launch phases and may be replaced or supplemented by a full Terms of Service in the future.
By accessing or using the Services, or by paying any invoice issued by or on behalf of HaulVision, you agree to be legally bound by these Terms. If you do not agree, do not use the Services.

1. DEFINITIONS
For purposes of these Terms:
“HaulVision” refers to the HaulVision brand, platform, website, systems, and service offering, operated by A&A Corporation LTD (“A&A”), together with any tools, workflows, and processes made available under the HaulVision name.
“A&A” refers to A&A Corporation LTD and its affiliated entities, officers, directors, employees, contractors, and representatives.
“Client” refers to any individual or legal entity that accesses, purchases, subscribes to, or uses the Services.
“Services” refers to all 3D visualization, modeling, rendering, configuration, documentation, live or asynchronous design support, and related services offered under HaulVision.
“Vision Credit” (VC) refers to a prepaid service unit included in a subscription plan or package and used to access the Services.
“Vision Credit Balance” (VCB) refers to the remaining number of Vision Credits available to a Client under an active subscription or plan.
“Subscription” refers to the pricing plan or service tier selected by the Client that governs Vision Credit quantity, validity period, access level, and features.
“Third Parties” refers to subcontractors, designers, software providers, hosting providers, payment processors, or other service providers engaged by A&A to assist in delivering the Services.

2. OPERATION & THIRD-PARTY INVOLVEMENT
HaulVision is operated by A&A Corporation LTD. A&A may use Third Parties to perform portions of the Services.
You acknowledge and agree that:
A&A and all Third Parties are fully indemnified and held harmless to the same extent as HaulVision under these Terms;
A&A retains full discretion over how Services are delivered and by whom;
No partnership, agency, or joint venture is created between the Client and any Third Party.

3. ELIGIBILITY & AUTHORITY
You represent and warrant that:
You are at least 18 years old;
You have authority to bind the entity you represent;
You will use the Services solely for lawful business purposes.

4. BETA / EARLY-STAGE STATUS
The Services are provided in a pilot / beta / early-stage capacity.
Accordingly:
Features, pricing, credits, and workflows may change at any time;
Turnaround times and availability are targets only, not guarantees;
Errors, limitations, or inaccuracies may exist.
You accept all such risks.

5. NO MANUFACTURING, ENGINEERING, OR SALES GUARANTEES
HaulVision:
Does not manufacture trailers;
Does not provide engineering drawings.
Does not guarantee manufacturability, pricing accuracy, compliance, or build feasibility.
All final specifications, approvals, pricing, fabrication, sales, warranties, and delivery obligations remain solely with the manufacturer and/or dealer.

All visualizations, models, layouts, drawings, and design outputs provided by HaulVision are for conceptual, illustrative, and reference purposes only. They are not construction documents, not shop drawings, and not intended for direct use in fabrication or final construction. Final construction, fabrication, and build execution must be based solely on approved specifications, engineering documents, and instructions prepared, reviewed, and issued by the applicable dealer, manufacturer, engineer, or other qualified third party.

Any use of HaulVision outputs for construction, fabrication, or manufacturing purposes is done entirely at the Client’s own risk.

6. VISUALIZATIONS & DESIGN OUTPUTS
All renderings, models, layouts, drawings, and visual outputs are illustrative and representational only.
They:
Do not replace engineering review or manufacturer approval;
Are subject to tolerances, substitutions, and fabrication constraints;
May differ from final fabricated results.

7. VISION CREDITS, SUBSCRIPTIONS & SCHEDULING
7.1 Subscription-Based Credits
Vision Credits are provided solely pursuant to the Subscription selected by the Client.
Vision Credits are valid only for the duration, limits, and terms of the active Subscription;
Expired Vision Credits are not reinstated;
Vision Credits have no cash value and are non-transferable unless explicitly stated otherwise.
7.2 Credit Consumption
Vision Credit consumption and VCB calculations are determined at the sole discretion of A&A, based on time, scope, complexity, revisions, and resources required.
If a Client’s VCB reaches zero or the Subscription expires, Services and access will stop immediately until a new Subscription is activated.
A&A reserves the right to correct billing discrepancies by adjusting the VCB or issuing additional charges, which will be communicated in good faith.
7.3 Meetings & Scheduling
Meetings, live sessions, and design reviews are paid exclusively using Vision Credits;
No monetary payments are accepted for individual meetings unless explicitly agreed in writing;
Meetings must be scheduled via HaulVision’s designated scheduling platform;
A&A may deny or reschedule bookings based on availability or operational constraints.
If the Client does not join a scheduled meeting within 15 minutes of the start time and does not provide prior notice, the session is considered a no-show and the corresponding Vision Credits are forfeited.
7.4 Taxes & Fees
Unless expressly stated otherwise in writing, all fees, subscription charges, Vision Credits, and amounts payable to HaulVision are exclusive of any applicable taxes, duties, levies, or governmental charges, including but not limited to sales tax, use tax, value-added tax (VAT), goods and services tax (GST), or similar taxes.
The Client is solely responsible for determining, reporting, and paying any applicable taxes arising from their use of the Services. Where HaulVision or A&A is legally required to collect or remit taxes on the Client’s behalf, such amounts may be added to the invoice or charged at checkout.

7.5 Vision Credits – No Cash Value

Vision Credits have no cash value and are not legal tender. Vision Credits are not redeemable, refundable, or exchangeable for cash, credit, or any other monetary value, except where expressly required by applicable law.

7.6 Service Capacity, Priority & Vision Credit Pacing

HaulVision does not guarantee immediate or uninterrupted use of Vision Credits upon purchase. The timing, pacing, and scheduling of Vision Credit usage is subject to HaulVision’s operational capacity, workload, resource availability, and internal scheduling priorities.

HaulVision may reasonably pace, queue, delay, or limit the use of Vision Credits based on factors including, but not limited to: overall demand, project complexity, resource allocation, service quality standards, client priority level, and project order or request date.

Certain subscription tiers, clients, or projects may be prioritized over others based on plan level, contractual arrangements, service history, or operational considerations, without constituting unequal treatment or breach of these Terms.

Temporary delays or pacing resulting from capacity constraints, prioritization decisions, or queue management shall not constitute a failure to perform, provided Vision Credits remain valid for the duration of the applicable subscription.

7.7 Vision Credits; Expiration, Sufficiency, and Additional Purchases

Vision Credits are issued for use solely during an active subscription term. Unused Vision Credits do not carry over and will automatically expire upon subscription expiration, cancellation, suspension, or non-renewal, without refund or compensation of any kind.

Vision Credits have no cash value, are non-transferable, and may only be used toward eligible HaulVision Services in accordance with these Terms.

Clients acknowledge and agree that a selected subscription plan may be insufficient, sufficient, or more than sufficient for their actual usage needs. Clients are solely responsible for managing and using their Vision Credits during the active subscription period in a manner they deem suitable and are encouraged to select a subscription plan based on their anticipated needs. HaulVision makes no representation or guarantee regarding the appropriateness, sufficiency, or utilization of any plan for any particular Client.

Subject to availability, Clients may purchase additional Vision Credits during an active subscription term. Additional Vision Credits shall be priced on a per-credit basis equal to the effective per-credit rate of the Vision Credits included with the Client’s subscription at the time of purchase. If a Client maintains or has purchased multiple subscriptions, the per-credit price from the most recently purchased subscription shall apply.

HaulVision reserves the right to modify the availability, pricing, or eligibility of additional Vision Credit purchases at any time, subject to these Terms.

7.8 Additional Credits, Availability, and Subscription Limitations

Additional Vision Credits and subscription availability are not guaranteed.
Each business entity is limited to one (1) active subscription at any given time.

The availability, issuance, purchase, or approval of any additional Vision Credits, additional subscriptions, or exceptions to subscription limits shall be solely at the discretion of HaulVision, and may be granted, denied, limited, delayed, modified, or revoked at any time based on operational capacity, project backlog, client priority, payment status, compliance with these Terms, or other business considerations.

The purchase of a subscription or Vision Credits does not create any entitlement, guarantee of availability, guaranteed turnaround time, or ongoing right to purchase additional credits or subscriptions in the future.

7.9 Subscriptions and Vision Credits may be tracked, managed, and administered using third-party platforms and internal tools, including but not limited to the Wix platform, Google Workspace, Google Sheets, or any other systems, software, or tools that HaulVision deems appropriate for its operations, whether now or in the future.

Clients will be provided with reasonable access to view their current Vision Credit balance and usage log, which may be made available through the HaulVision platform, shared dashboards, exported reports, or other viewing methods determined by HaulVision.

HaulVision does not guarantee real-time updates, uninterrupted access, or a specific method of presentation, and reserves the right to modify, migrate, or change tracking systems or tools at any time without prior notice.

 

7.10  Manufacturer & Dealer Submission Requirements; Vision Credit Coordination

For certain visualization, configuration, or design requests, HAULVISION may require coordinated submissions from both a trailer manufacturer and a dealer.

 

Manufacturer Requirement: The manufacturer must submit a complete trailer build configuration or build specification as requested by HaulVision.

Dealer Requirement: The dealer must submit a valid and unique dealer trailer identifier supplied by the manufacturer associated with the applicable trailer request.

Upon successful submission and acceptance of the required materials:

Vision Credit(s) will be deducted from the manufacturer’s Vision Credit Balance as per the plan subscription.

Vision Credit(s) will be deducted from the dealer’s Vision Credit Balance as per the plan subscription.

Vision Credit deductions apply per qualifying request and are non-refundable. HaulVision reserves the right to determine eligibility, validation, and credit allocation requirements based on scope, complexity, and operational needs.

8. CANCELLATIONS & RESCHEDULING
Rescheduling must occur at least 24 hours before the meeting time;
Late cancellations or no-shows result in forfeited Vision Credits;
Refunds (if applicable) are based on unused VCB minus processing fees;
Refunds are not automatic and must be requested in writing.
If HaulVision cancels a session, no credits (or only used credits) will be deducted, and rescheduling may be offered.

9. ACCESS TO TOOLS & FILES
Access to shared tools, platforms, drives, files, or project materials is granted only while the Client has available Vision Credits and an active, valid Subscription.
Upon depletion or expiration of Vision Credits or termination of the Subscription:
Access may be revoked immediately;
Files and shared materials may be removed or deleted at A&A’s discretion.
Clients are solely responsible for downloading or saving any materials they wish to retain before access ends.

10. RECORDINGS, AI TOOLS & DATA
Meetings may be recorded, transcribed, or summarized using third-party tools.
By participating, you consent to such recording unless you notify HaulVision in writing prior to the session.
Recordings may be retained for business, legal, training, or quality purposes. AI-generated summaries are for reference only and may contain inaccuracies.

11. CONDUCT, SUSPENSION & TERMINATION
A&A reserves the right to suspend or terminate Services immediately, with or without notice, in cases of:
Harassment, abusive behavior, coercion, pressure, or misconduct;
Misrepresentation of HaulVision outputs or Services;
Non-payment, misuse, or violation of these Terms.
In cases of termination for poor conduct or misconduct, no refunds will be issued for unused Vision Credits, subscriptions, or fees, except where required by law.
Termination does not affect any clauses intended to survive, including indemnities, liability limitations, and intellectual property rights.

12. INTELLECTUAL PROPERTY & PORTFOLIO USE
HaulVision retains ownership of all proprietary systems, workflows, templates, and processes.
Unless prohibited in writing before Services begin, HaulVision may use non-confidential project outputs for portfolio, marketing, training, and business purposes.

13. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
HAULVISION, A&A, AND ALL THIRD PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
Consumer Rights & Non-Waiver
Nothing in these Terms is intended to exclude, limit, or override any mandatory consumer protection rights or remedies that cannot be waived or restricted under applicable law.
Where any provision of these Terms conflicts with non-waivable legal rights, such provision shall be deemed modified to the minimum extent necessary to comply with applicable law, without affecting the validity or enforceability of the remaining provisions.

14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
NO PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES;
TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO HAULVISION IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

15. INDEMNIFICATION
You agree to indemnify and hold harmless HaulVision, A&A, and all Third Parties from claims arising from:
Your use of the Services;
Manufacturing, sales, or delivery outcomes;
Materials you provide without proper rights.

16. GOVERNING LAW
These Terms are governed by the laws of the State of [Insert State], United States.

17. CHANGES TO TERMS
HaulVision may update these Terms at any time. Continued use constitutes acceptance.
